Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website pdf2xls.com and the file-conversion service made available through it (the "Service").

By uploading a file, using the Service, or purchasing a paid plan, you agree to these Terms. If you do not agree, do not use the Service.


1. Who we are

The Service is operated by:

In these Terms, "we", "us" and "our" refer to the above. "You" means the individual or the organisation using the Service. If you use the Service on behalf of a company, firm or other legal entity, you represent that you are authorised to bind that entity, and "you" means that entity.

2. What the Service does

The Service accepts a PDF file that you upload and attempts to identify tabular data inside it and return that data as a spreadsheet or document file (.xlsx, .docx or .pptx).

Extraction is performed in two ways, depending on the file:

  • if the PDF contains a machine-readable text layer, the tables are extracted on our own server;
  • if it does not (for example, a scan or a photographed page), page images are sent to a third-party AI provider for optical table recognition. See our Privacy Policy for the identity of that provider and what happens to the data.

3. Accuracy — read this before you rely on anything

The Service produces an automated, machine-generated estimate of the contents of your document. It is not a certified transcription and it is not reviewed by a human.

Automated and AI-based extraction can and does make mistakes. It can misread digits, drop rows or columns, merge cells, misplace decimal separators, misread negative numbers and currency symbols, misinterpret multi-line cells, and silently omit tables it did not detect. Only the first pages of a document may be processed.

You must verify every output against the source document before using it. The Service must not be used as the sole basis for any accounting, bookkeeping, tax, audit, financial, statutory-reporting, legal, medical or other decision where an error would cause harm. We give no assurance of accuracy, completeness or fitness for any such purpose.

If you are an accounting, bookkeeping or advisory firm, the professional responsibility for the figures you deliver to your own clients remains entirely yours.

4. Free tier and paid plans

Free tier. The Service is currently offered free of charge, without registration, with a limit of 3 conversions per IP address per calendar day and a maximum file size of 10 MB. We may change, restrict or withdraw the free tier at any time, for any reason, without notice.

Paid plans. Paid subscription plans may be offered. Prices, limits and features are those displayed at checkout at the time of purchase. Payment processing, invoicing, sales tax/VAT and refunds for paid plans are handled by our merchant of record — see clause 5 and our Refund Policy.

No service level commitment. The Service is provided on a best-effort basis. We do not commit to any uptime percentage, response time, processing time, queue priority or availability window, on either the free or the paid tier, unless we have agreed one with you in a separate signed written agreement.

5. Payments and merchant of record

If and when paid plans are offered, all orders are placed with and fulfilled by our merchant of record, Lemon Squeezy, which acts as the seller of record for the transaction. Lemon Squeezy processes the payment, collects and remits applicable sales tax and VAT, issues the invoice or receipt, and processes refunds and chargebacks.

Your purchase is therefore also subject to Lemon Squeezy's own buyer terms and privacy policy, in addition to these Terms. We never receive or store your full card number, CVC or bank credentials.

6. Your files and your content

You keep ownership. You retain all rights in the files you upload and in the converted output. We claim no ownership of either.

Limited licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to store, copy, render, transmit and process your file solely for the purpose of performing the conversion you requested, and for the limited retention periods described in the Privacy Policy. This licence exists only to let us run the Service. It ends when the file is deleted.

We do not train AI models on your files. We do not use your files, their contents or the extracted output to train, fine-tune, evaluate or improve any machine-learning model, and we do not license or sell them to anyone for that purpose or any other purpose. Our AI subprocessor's contractual position on training is set out in the Privacy Policy.

Your warranties. You represent and warrant that, for every file you upload:

a. you own it or have all rights, licences and permissions necessary to upload it and to have it processed as described in these Terms; b. where the file contains personal data relating to other people (clients, employees, counterparties, patients and so on), you have a lawful basis for disclosing that data to us and for having it processed by us and our subprocessors, and you have given any notices and obtained any consents required by the law applicable to you; c. uploading it does not breach any confidentiality obligation, professional secrecy rule, non-disclosure agreement, banking secrecy rule or client engagement letter that binds you; d. it does not contain malware and is not designed to attack, probe or disrupt the Service.

Where you are the controller. If your file contains personal data, you are the data controller in respect of that data and we act as your processor. See clause 12 (Data protection).

7. Acceptable use

You must not:

  • upload content that is unlawful, or that you have no right to upload;
  • upload classified material, or material whose export or disclosure is restricted by law;
  • attempt to circumvent the free-tier limit (including by rotating IP addresses, proxies, VPNs, automated scripts or multiple devices) in order to obtain more free conversions than we make available;
  • resell, sublicense, white-label or otherwise commercially redistribute the Service, or expose it to third parties through your own front-end, API or product, without our prior written agreement;
  • use automated means to submit files at a rate or volume that degrades the Service for others;
  • scrape, crawl, mirror or bulk-copy the site's content;
  • probe, scan, load-test or attempt to gain unauthorised access to the Service, our servers or our accounts, or to reverse engineer or extract our prompts, models or internal logic;
  • use the Service to build, train or benchmark a competing product;
  • use the Service in breach of any sanctions, export-control or anti-money- laundering law that applies to you or to us.

We may suspend or terminate your access immediately, without refund, if we reasonably believe you have breached this clause.

8. Availability, changes and termination

We may modify, suspend or discontinue the Service, or any part of it, at any time. We may change these Terms; the current version is always the one published at this URL and the "Last updated" date shows when it changed. If a change is material and you hold a paid subscription, we will make reasonable efforts to notify you before it takes effect, and your continued use after it takes effect means you accept it.

You may stop using the Service at any time. Cancellation of a paid subscription is described in the Refund Policy.

9. Disclaimer of warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, we disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free or secure, that defects will be corrected, that any particular file will be convertible, or that any output will be accurate or complete.

Nothing in this clause limits any warranty or right that cannot be excluded under the law applicable to you.

10. Limitation of liability

To the fullest extent permitted by applicable law:

a. we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill, anticipated savings, contracts, opportunity, data, or for the cost of procuring substitute services, however caused and on any theory of liability, even if we have been advised of the possibility of such loss;

b. we will not be liable for any loss arising from your reliance on the accuracy or completeness of extracted output (see clause 3), including any accounting error, misstatement, penalty, interest, fine, restatement, audit finding or professional-liability claim resulting from it;

c. our total aggregate liability arising out of or relating to the Service and these Terms, for all claims combined, will not exceed the greater of (i) the total amount you actually paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, and (ii) USD 100.

If you use the free tier, you have paid us nothing, and our aggregate liability to you is capped at USD 100.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

11. Indemnity

You will indemnify and hold us harmless against any claim, demand, proceeding, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) brought by a third party (including any regulator, data subject or your own client) and arising out of or relating to: (a) your breach of clause 6 or clause 7; (b) any content you upload; or (c) your use of extracted output.

12. Data protection

Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.

Where your uploaded files contain personal data and you act as controller, we act as your processor. A data processing agreement (DPA) incorporating the Standard Contractual Clauses is available on request for customers on a paid plan — write to legal@pdf2xls.com. Until a DPA is executed, our processing is governed by these Terms and the Privacy Policy.

13. Confidentiality

We will not disclose the contents of your files to any third party except: (a) to the subprocessors listed in the Privacy Policy, solely to perform the conversion; (b) where required by law or by a binding order of a competent authority; or (c) with your instruction or consent.

14. General

Governing law. These Terms and any dispute arising out of them are governed by the laws of the Republic of Armenia, without regard to its conflict-of-laws rules.

Jurisdiction. The courts of Yerevan, Republic of Armenia have exclusive jurisdiction, save that if you are a consumer resident in the European Union or the United Kingdom, nothing here deprives you of the protection of the mandatory consumer-protection rules of your country of residence, or of your right to bring proceedings there.

Entire agreement. These Terms, the Privacy Policy and the Refund Policy are the entire agreement between us regarding the Service, and supersede any prior statement, claim on the website, or marketing material.

Severability. If any provision is held unenforceable, it is severed and the remainder stays in force.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a reorganisation, merger or sale of the business.

Force majeure. We are not liable for any failure or delay caused by events outside our reasonable control, including outages at our hosting provider or AI provider, network failures, government action, sanctions, or acts of war.
